Contract of engagement for Recruiting services and Permanent Positions (personnel selection)
Between
Obiettivo lavoro, Labour Agency – spa – Aut. Min. 26/11/2004 Prot. N. 1099/SG registered in the Informatic Register of the Labour Agencies, section 1, paragraph 2. of the ministry decree promulgated the 23th of December 2003, authorized to carry out all activities described at art.4, paragraph 1 ,……………… The present act is being signed by Mrs. Luciana Perilli, who represents Obiettivo Lavoro spa and is authorized to sign said document

The contracting parties agree as follows:
A. OBJECT OF THE PRESENT CONTRACT:
a. The present contract deals with the appointment to XY of recruiting activities regarding the professional resources described at comma b.
b. XY is being conferred, by the contractor company, the task to recruit professional resources for a permanent position as an Engineer, included in the employees category, as agreed during the needs’ analysis of the client.
B. HOW WILL THE RECRUITMENT ACTIVITIES BE CARRIED OUT AND DURATION OF THE ENGAGEMENT
1. XY will carry out recruitment activities according to the following steps:
Ø Professional consultancies to the client regarding the need of professional resources. Recruitment and search of the candidates in the Data base of the Agency or through the most efficient channels of resources’ recruitment.
Ø Accurate choice of the best professional profiles and carrying out of the job interview and the evaluation of the above-mentioned profiles.
Ø The Agency will submit candidates to specific professional and attitude tests
Ø The Agency shall provide the curricula of the best candidates
Ø The Agency, upon the client’s request, shall publish job advertisements on the best job searching sites, on national and local newspapers, on specialized magazines and on other specialized press organs;
c. DURATION OF THE COMMISSION
The commission will have a duration of 1 month, dating from the day the present document will be signed by the client.
d. FEES AND PRICE
1. The client agrees to pay to XY – for every employed candidate, with reference to the object of the present contract – an amount of 800,00 Euros, VAT not included. Vat amounts up to 160,00 euro and will be established when the candidate starts working. XY will be paid as follows:
a. after the completion of the candidates research process and the employment of the candidates as described in item A, paragraph b.
2. Fees regarding job advertisements on press media, travel costs and other types of extraordinary expenses, will be previously agreed, estimated and calculated in different invoices.
General conditions
1. Exclusivity
a. The Client must commit itself to entrust XY with the task of personnel selection, as described in item 1. – object of the contact.
b. During the contract period, the client will pass to XY any resumes sent by candidates directly to the client, so that Obiettivo Lavoro can submit them to the entire personnel selection process.
3. Warranties
a. XY will carry out the entire process of search and personnel selection, on the basis of the instructions furnished by the client.
b. XY commits itself to communicate as fast as possible problems that might render difficult the execution of personnel selection tasks.
c. The client commits itself to entrust XY with the task of the candidates’ reception, the acceptance of them and in case, their employment.
d. XY commits itself not to contact employees of the client company to propose them other client companies’ job offers. In this case, are not included employees that apply for job positions advertised by XY on a press medium. Said engagement will have a duration of 12 months from the date of expiration of the present contract. Said engagement shall not be valid, if payment terms will not be observed in any part.
e. Whether the candidates once accepting the job offer of the client and is due to interrupt his working relationship after a short period of time, within the trial period established in the contract and however, within the first thirty days from the day of employment, or whether he turns down the job offer before being employed, XY will restart its personnel selection activity, without asking further compensations, until the contract expires, upon prior written communication of the client within ten days from the expiration date of the contract and the payment of the fees agreed on. Other expenses not contemplated by the engagement shall be invoiced to the client.
f. The agreed-on fees will include the employment of candidates within 12 months from the date of their presentation to the client. The fees regarding this case will be included and paid in a single invoice.
g. In the event that at the expiration date of the contract, there have not been employments of candidates and the personnel selection process has been completed, the client ought to pay to XY 1 third of the fees agreed on.
h. XY will not be responsible for damages, expenses and losses the client goes through because of the candidate’s working performance.
3. PAYMENT
i. The fees due to XY will be paid, upon invoice’s receipt, through a bank credit on the bank account indicated on the invoice. If the client fails to pay the due compensations, within the set up expiry date, XY shall apply interest charges as contemplated by the Leg. Decree nr. 231/02, referring to the EU law of the 200/3. If the client fails to pay even a single invoice, will give the right to XY to suspend the services offered at once, requiring the payment of fees for services already offered to the client.
4. COURT
In case of legal controversies the counterparts shall refer to the Court of Milan.
